1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Agreement" means these Terms and Conditions, together with any engagement letter or scope of work signed between the parties.
- "Service" means the business consulting services provided by Meridium, as described on this website or in a written scope document.
- "Client" / "You" / "Your" means the individual or organisation engaging Meridium's services or using this website.
- "We" / "Us" / "Our" refers to Meridium, registered and operating from 42 Jalan Sultan Ismail, 50250 Kuala Lumpur, Malaysia.
- "Content" means all materials, reports, frameworks, and other deliverables produced during an engagement.
- "Website" means the website at https://{{DOMAIN}}.
2. Acceptance of Terms
By accessing this website or engaging Meridium's services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use this website or engage our services.
You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our services. By engaging our services, you confirm that you have the authority to bind the organisation you represent, if applicable.
3. Service Description
Meridium provides business consulting services including, but not limited to:
- Stakeholder Alignment Audits
- Competitive Landscape Mapping
- Advisory Retainer Programmes
Services are available to clients in Malaysia and, on a case-by-case basis, to regional organisations with Malaysian operations. Full service descriptions are available on our Solutions page.
4. Engagement Process and Scope
All consulting engagements are formalised through a written scope of work document, which sets out the specific deliverables, timeline, pricing, and any assumptions. The scope of work constitutes part of this Agreement for the purposes of each engagement.
Any material changes to the agreed scope must be discussed and agreed in writing before additional work is undertaken. Meridium reserves the right to adjust timelines or fees if scope changes are requested by the client.
5. Confidentiality
Meridium treats all client information as confidential. Before any substantive discussion of client business information, a non-disclosure agreement (NDA) will be signed by both parties. The NDA governs the handling of confidential information for the duration of the engagement and thereafter.
Meridium will not disclose client-specific information to third parties except as required by Malaysian law or with the client's express written consent.
6. Intellectual Property
All methodologies, frameworks, and analytical tools developed by Meridium prior to or independently of any client engagement remain the intellectual property of Meridium.
Deliverables produced specifically for a client (such as written reports) are licensed to that client for internal business use upon full payment of the applicable fees. Clients may not resell, publish, or distribute Meridium deliverables without prior written consent.
7. Payment Terms
All fees are quoted and payable in Malaysian Ringgit (MYR). Payment terms will be specified in the scope of work document but are typically as follows:
- Project engagements: 50% upon engagement confirmation, 50% upon delivery of the final report.
- Advisory Retainer Programme: Full fee invoiced at the start of the six-month engagement period.
Late payments may be subject to a late payment fee of 1.5% per month on overdue amounts. Meridium reserves the right to pause delivery of services until outstanding invoices are settled.
8. Refund Policy
Where an engagement is cancelled by the client after work has commenced, fees for work already completed will not be refunded. Where an engagement is cancelled before commencement, the deposit may be refunded at Meridium's discretion depending on preparatory work already undertaken.
For the Advisory Retainer Programme, where a client wishes to terminate early, fees for months already delivered are non-refundable. Fees for remaining months may be partly refunded at Meridium's discretion.
9. Client Responsibilities
To enable effective delivery, clients agree to:
- Provide accurate and complete information relevant to the engagement
- Make relevant personnel available for interviews or sessions as agreed
- Respond to requests for information or approval within agreed timeframes
- Respect Meridium's intellectual property and the terms of this Agreement
Delays caused by the client's failure to meet these responsibilities may affect timelines and are not Meridium's liability.
10. Disclaimers
Meridium's consulting services represent professional analysis and informed recommendations. They do not constitute legal, financial, accounting, or investment advice. Clients should seek appropriate professional advice before acting on any recommendations made in Meridium's deliverables.
While we take care to ensure the accuracy of information in our reports, we cannot warrant that all information will be complete, up to date, or free from error. Meridium's liability for any inaccuracies is limited as described in Section 11.
11. Limitation of Liability
To the fullest extent permitted by Malaysian law, Meridium's total liability to any client arising from or in connection with an engagement shall not exceed the total fees paid by that client in connection with the specific engagement giving rise to the claim.
Meridium shall not be liable for any indirect, consequential, incidental, or special damages, including but not limited to loss of profit, loss of revenue, or business interruption, even if advised of the possibility of such damages.
12. Indemnification
You agree to indemnify and hold harmless Meridium, its principals, consultants, and associated parties from and against any claims, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of our services in a manner that breaches this Agreement or applicable Malaysian law.
13. Termination
Either party may terminate an engagement by providing written notice to the other party. In the event of termination, the client shall pay for all work completed up to the date of termination. Meridium reserves the right to terminate an engagement immediately where a client materially breaches the terms of this Agreement.
14. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of Malaysia. Any disputes arising in connection with these terms shall first be subject to good-faith informal resolution between the parties. If informal resolution fails, disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.
15. General Provisions
- Entire Agreement: These Terms, together with any signed scope of work, constitute the entire agreement between the parties and supersede all prior arrangements.
- Severability: If any provision is found to be unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign your rights under this Agreement without Meridium's prior written consent.
16. Changes to These Terms
Meridium reserves the right to update these Terms and Conditions from time to time. The updated version will be posted on this page with a revised "Last Updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
